Client Membership Agreement

This Membership Agreement (“Agreement”) sets forth the terms and conditions of your participation in Her Health Membership Program (“Membership”), which provides access to wellness guidance, functional health services, and holistic support. By enrolling in the Membership, you agree to these terms.

Initial Notices
 

1. Not Medical Insurance.
   This Agreement is not health insurance and does not satisfy any health insurance mandate under federal or local law. The Membership provides wellness-based services and is not a substitute for medical care or insurance.
    

2. Not Medical Care or Advice.
   Her Health offers non-medical, functional health services designed to support your wellness journey. The membership and platform is not intended to treat, diagnose or cure disease, nor does it replace primary medical care.

1. Membership and Payment Terms
 

Membership: Her Health offers 6-month and 12-month Membership plans with both monthly subscription and pay-in-full options. The initial payment is required before Membership activation, and fees are non-refundable. Membership Fees may change at renewal, with at least 30 days' notice provided.
 

Billing: For monthly subscriptions, payments will be billed to your chosen payment method on a recurring basis. By enrolling, you authorize Her Health to securely store and charge your card according to the selected schedule. For pay-in-full options, the full amount is due upfront.
 

Failed and Late Payments: If a payment fails, Her Health will notify members by email. Late payments must be resolved within 7 days of payment due date. Services may be suspended until resolved. You can update your payment information by contacting support at herhealthhub.co@gmail.com.
 

2. Nature of Services
 

Her Health focuses on holistic, wellness-based guidance, which may include:

• Functional lab testing facilitation.

• Nutritional and lifestyle recommendations.

• Access to educational resources and health coaching.

Her Health is not a primary care provider and does not offer emergency medical services, prescriptions, or diagnostic treatments. For medical emergencies, contact your local emergency services immediately. Her Health's platform is intended solely for non-urgent wellness support.

3. No Insurance Accepted; Self-Pay

Membership services are not billable to or reimbursable by insurance. Clients are solely responsible for all fees. Any external services (e.g., additional lab work, specialist consultations) recommended by Her Health are at the client’s discretion and expense.
 

4. Term and Termination
 

A. Term

The Membership term begins upon payment confirmation and lasts for the selected duration (6 or 12 months). Membership automatically renews unless terminated per Section 4B.
 

B. Termination

• After the initial commitment upon enrollment (6 or 12 months,) members may terminate their Membership with 30 days’ written notice.

• If the member chooses to terminate early, no refund for the remaining term will be provided.

• Upon termination, Members retain access to services until the end of the paid term.

• Her Health reserves the right to terminate the Membership due to non-compliance with program guidelines, non-payment, or behavior that disrupts the community or staff.

5. Privacy and Confidentiality
 

The protection of all members' identities and personal data is maintained. All information shared with Her Health will be kept confidential and used solely for the purpose of providing services. Her Health reserves the right to share anonymized case studies, including data from member sessions, for educational or promotional purposes, but members' identities will remain protected at all times.

6. Intellectual Property Rights
 

Her Health retains all ownership and intellectual property rights to the content and materials provided. These materials are for your individual use only and may not be shared, copied, sold, or used for commercial purposes without permission.
 

7. Success Disclaimer
 

While Her Health strives to support your wellness journey, we cannot guarantee specific results. Success depends on individual commitment, consistency, actions, and various external factors. Coaching services are not substitutes for medical, psychological, or financial advice.
 

8. Scheduling, Cancellation and Rescheduling Policies
 

• Bookings: The Member is responsible for booking all sessions via the Her Healths online system and agrees to attend at the scheduled times. All sessions must be used up within the membership time period (6 or 12 months,) and do not roll over into a renewal period.
   

• Cancellation: A 24-hour notice is required to cancel or reschedule an appointment. Cancellations made with less than 24 hours' notice will result in a lost session. In the event of an emergency or extenuating circumstances, please contact us as soon as possible to discuss alternative arrangements.

• Late Policy: Appointments will start and end on time. If the Member is more than 10 minutes late, the session will be considered canceled and will count as a completed session. If the Member is up to 10 minutes late, the session will not be extended beyond the scheduled time.
   

9. Refund Policy
 

• Non-Refundable: Due to the nature of the services provided, which include immediate access to proprietary content, resources, and personalized guidance, all Membership fees are non-refundable once payment is made. Upon enrollment, members gain access to exclusive materials, tailored health recommendations, and functional wellness support that cannot be returned or undone.
   

• Missed Appointments or Unused Services: Fees for missed appointments or unused services will not be refunded or credited.
   

• Early Termination by Member: If the member chooses to terminate early, no refund for the remaining term will be provided.
   

• No-Guarantee: Her Health does not offer a money-back guarantee, as the success and benefits of the Membership depend on each member's active participation, commitment, effort and various external factors. This policy ensures the integrity and fairness of the program for all participants and aligns with the personalized nature of the services offered.

10. Community Guidelines
 

Her Health fosters a supportive and respectful environment. Members are expected to engage respectfully with staff and other members. Harassment, abuse, or disruptive behavior may result in termination of Membership without refund.
 

11. Telehealth and Remote Services

Her Health services include virtual consultations and communications through telehealth platforms. By enrolling, you acknowledge the limitations of telehealth services and agree to use Her Health platform as designed. You are responsible for seeking additional in-person or emergency care as needed.

12. Liability Disclaimer
 

Her Health is not responsible for any adverse outcomes resulting from member actions or choices based on provided guidance. The client is solely responsible for decisions and outcomes during and after the membership period. Members agree to consult their primary care provider before making significant health changes.

13. Entire Agreement and Amendments
 

This Agreement constitutes the entire understanding between the parties. Her Health reserves the right to amend these terms with at least 30 days’ notice. Continued use of services after updates constitutes agreement to the revised terms.

14. Governing Law and Arbitration
 

This Agreement is governed by the laws of Miami, Florida. Any disputes arising under this Agreement will be resolved through binding arbitration.

15. Majeure Clause
 

Her Health will make every effort to provide uninterrupted services. However, we cannot guarantee against delays or disruptions caused by circumstances beyond our control, such as acts of God, natural disasters, technical failures, or governmental actions. In such situations, we will do our best to resume services as quickly as possible.

16. Miscellaneous

• Severability: If any provision of this Agreement is found invalid, the remaining terms shall remain enforceable.

• Assignment: Membership benefits are strictly personal and cannot be transferred or shared with any third party.
